Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Ind!oogle Software Labs Limited, Zambia ("indxBASE", "we", "us", or "our") governing your access to and use of the indxBASE website, APIs, applications, and other services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you have the legal capacity to enter into a binding contract and that you are not barred from using the Services under applicable law. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Account Registration

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You may not use another user's account without permission. We reserve the right to suspend or terminate your account if any information provided is inaccurate, outdated, or incomplete.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Services in any way that violates applicable laws or regulations.
  • Transmit, store, or distribute any material that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable.
  • Interfere with or disrupt the integrity or performance of the Services or its underlying infrastructure.
  • Attempt to gain unauthorized access to the Services, other user accounts, or computer systems or networks connected to the Services.
  • Use the Services to send unsolicited communications, promotions, or advertisements.
  • Engage in any activity that could damage, disable, overburden, or impair the Services.
  • Reverse engineer, decompile, or disassemble any portion of the Services.
  • Resell, sublicense, or otherwise transfer your rights to use the Services without our prior written consent.

5. Service Availability

We strive to maintain high availability of the Services but do not guarantee that the Services will be available at all times. We may suspend or restrict access to the Services for maintenance, updates, or other operational reasons. We will use reasonable efforts to provide notice of scheduled maintenance that may significantly affect service availability.

6. Data and Content

You retain all rights to the data and content you upload, store, or transmit through the Services ("Customer Data"). By using the Services, you grant us a limited license to access, process, and transmit Customer Data solely for the purpose of providing and improving the Services. We will not access, modify, or disclose Customer Data except as required to provide the Services, comply with legal obligations, or with your consent.

You represent and warrant that you have all necessary rights, permissions, and consents to upload, store, and process Customer Data through the Services, and that doing so does not violate any applicable law or the rights of any third party.

7. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by indxBASE, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes in accordance with these Terms. This license does not include any right to resell, redistribute, or create derivative works from the Services.

8. Open Source

Portions of the indxBASE platform may be available under open source licenses. Your use of open source components is governed by the applicable open source licenses, which may provide you with rights in addition to those set forth in these Terms. These Terms do not limit any rights granted to you under open source licenses.

9. Payment and Billing

Some features of the Services may require payment of fees. All fees are quoted in the currency specified at the time of purchase and are exclusive of applicable taxes. You agree to pay all fees associated with your account in a timely manner. Failure to pay may result in suspension or termination of your account. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

We may change our fees at any time by posting the new fee structure on our website or by notifying you directly. Changes to fees will take effect at the start of the next billing cycle following the change.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by following the account deletion process within the Services or by contacting us. Upon termination, all licenses granted to you under these Terms will immediately cease, and you must discontinue all use of the Services.

Provisions that by their nature should survive termination will survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOVAABASE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

Our total liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the amount you have paid to us for the Services during the 12 months preceding the event giving rise to liability, or $100, whichever is greater.

13. Indemnification

You agree to defend, indemnify, and hold harmless indxBASE and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including but not limited to your Customer Data or any use of the Services' content, services, and products other than as expressly authorized in these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in accordance with the rules of the Zambia Arbitration Centre.

15. Changes to Terms

We may revise these Terms at any time by posting an updated version on our website. The updated Terms will be effective as of the date of posting. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for any changes.
